1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Nex-Trends, LLC, an Arizona limited liability company doing business as SeekZona ("SeekZona," "we," "us," or "our"). By accessing or using the website located at seekzona.com (the "Site") and any services offered through the Site (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Site or Services. We reserve the right to modify these Terms at any time. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes.

2. Description of Services

SeekZona is an online business directory focused on the State of Arizona. The Site provides a platform for users to discover local businesses, restaurants, golf courses, entertainment venues, services, and other points of interest across Arizona. Our Services include, but are not limited to, business listing display and search functionality, business listing submission and management tools, integration with third-party review platforms, event information and local guides, and blog content related to Arizona businesses and activities.

SeekZona serves as an informational directory and does not endorse, guarantee, or warrant the quality, safety, or legality of any business, product, or service listed on the Site. Any transaction or interaction between you and a listed business is solely between you and that business.

3. User Accounts

Certain features of the Site may require you to create an account. When you create an account, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate, current, and complete. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we reasonably believe that you have violated these Terms.

4. Business Listings

4.1 Submission of Listings

Business owners and authorized representatives may submit business listings to SeekZona. By submitting a listing, you represent and warrant that you are the owner of the business or are authorized to act on behalf of the business, that all information provided is accurate and not misleading, and that the listing does not violate any applicable law, regulation, or the rights of any third party.

4.2 Listing Content

You retain ownership of the content you submit as part of a business listing. However, by submitting content to SeekZona, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, display, distribute, and create derivative works of such content in connection with the operation and promotion of the Site and Services. This license continues even if you stop using our Services, to the extent necessary for us to fulfill our obligations or exercise rights that arose during the period of your use.

4.3 Claiming a Business

SeekZona may list businesses based on publicly available information. If your business is already listed, you may request to claim and manage the listing by verifying your ownership or authorization. We reserve the right to verify your identity and authority before granting control of a listing. We also reserve the right to maintain listings of businesses based on publicly available information, even if the business owner has not claimed the listing.

4.4 Removal and Moderation

We reserve the right to remove, edit, or refuse to publish any listing or content at our sole discretion, including but not limited to content that we determine to be inaccurate, misleading, offensive, or in violation of these Terms. We are not obligated to monitor all content submitted to the Site, but we may do so at our discretion.

5. User Conduct

You agree not to use the Site or Services in any manner that violates any applicable federal, state, local, or international law or regulation. You further agree not to submit false, misleading, or fraudulent information; impersonate any person or entity or misrepresent your affiliation with any person or entity; engage in any activity that interferes with or disrupts the Site or the servers and networks connected to the Site; attempt to gain unauthorized access to any portion of the Site, other accounts, or any systems or networks connected to the Site; use any automated means, including bots, scrapers, or spiders, to access the Site for any purpose without our express written permission; post or transmit any content that is defamatory, obscene, abusive, or otherwise objectionable; or use the Site to send unsolicited commercial communications or spam.

6. Reviews and User-Generated Content

SeekZona may display reviews and ratings from third-party platforms, including Google, as well as user-submitted reviews. Reviews displayed from third-party platforms are subject to the terms and policies of those platforms. If you submit a review or other user-generated content through SeekZona, you represent that your content is based on your genuine experience, is truthful and accurate, and does not violate the rights of any third party. We reserve the right to remove any review or user-generated content that we determine, in our sole discretion, to be fraudulent, abusive, or in violation of these Terms.

7. Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof — are owned by Nex-Trends, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The SeekZona name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Nex-Trends, LLC. You must not use such marks without our prior written permission.

8. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Nex-Trends, LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Nex-Trends, LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

9. Disclaimer of Warranties

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE INFORMATION PROVIDED ON THE SITE IS ACCURATE, RELIABLE, OR COMPLETE, OR THAT ANY DEFECTS IN THE SITE WILL BE CORRECTED.

We make no representations or warranties regarding the accuracy, completeness, or reliability of any business listing, review, rating, or other content on the Site. Business information, including hours of operation, contact details, and services offered, may change without notice, and we are not responsible for verifying the accuracy of such information.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEX-TRENDS, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR SERVICES EXCEED ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to defend, indemnify, and hold harmless Nex-Trends, LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from your use of the Site or Services, your violation of these Terms, your violation of any third-party right (including any intellectual property right or privacy right), or any content you submit to the Site.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts. You agree that any cause of action arising out of or related to the Site or Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

13. Termination

We may terminate or suspend your access to the Site and Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nex-Trends, LLC regarding your use of the Site and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
